Thanks for using our services ("Services"). The Services are provided by Emergis Global Holdings SCA ("EMERGIS GLOBAL CAPITAL"). By using the Services, you are agreeing to these Terms of Use ("Terms") so please read them carefully.

Using EMERGIS GLOBAL CAPITAL

You may use Emergis Global Capital's Services only if you can legally form a contract, which requires you to be at least 18-years old.

Don't misuse our Services. For example, don't interfere with our Services or try to access them using a method other than the interface and the instructions that we provide. You may not attempt to gain unauthorized access to our Services, computer systems, or networks connected to EMERGIS GLOBAL CAPITAL through hacking, web crawlers, password mining, or any other means. You may use our Services only as permitted by law. We may suspend or stop providing our Services to you if you do not comply with our Terms or policies or if we are investigating suspected misconduct.

Using our Services does not give you ownership of any intellectual property rights in our Services or the content you access. You may not use content from our Services unless you obtain permission from its owner or are otherwise permitted by law. These Terms do not grant you the right to use any branding or logos used in our Services. Don't remove, obscure, or alter any legal notices displayed in or along with our Services.

In connection with your use of the Services, we may send you service announcements, administrative messages, and other information. You may opt out of some of those communications.

Authorized EMERGIS GLOBAL CAPITAL User

You will need to register on emergiscapital.com in order to access some of our services. Keep in mind that certain pages on EMERGIS GLOBAL CAPITAL's platform are available only to companies and subscribers who have been authorized by us to access these services. Such authorization will entail completion of a Qualified Investor questionnaire, agreement to these and other terms and satisfactory background information screening. Only companies working with or subscribers of Emergis Global Capital with a valid user ID and password are authorized to access such services.

Privacy Protection

EMERGIS GLOBAL CAPITAL's Privacy Policy, available on our website, explains how we treat your personal data and protect your privacy when you use our Services. By using our Services, you agree that EMERGIS GLOBAL CAPITAL can use such data in accordance with our Privacy Policy.

Investor Qualifications

Our Services related to investing are available only to Qualified Investors who are at least 18-years old. Investors must meet certain eligibility tests to qualify as Qualified Investors. Currently, individuals must have a net worth of more than $1 million excluding their primary residence, or gross income for each of the last two years of more than $200,000 (or more than $300,000 with their spouse) with the expectation of the same or higher income in the current year. Entities must have assets of at least $5 million (or all individual owners meet Qualified investor tests).

EMERGIS GLOBAL CAPITAL Property and Feedback

These Terms do not grant you any right, title, or interest in the Services or the content in the Services. While we appreciate it when users send us feedback, please be aware that we may use any feedback, comments, or suggestions you send us or post in our forums without any obligation to you. The software and other technology we use to provide the Services are protected by copyright, trademark, and other laws of both the United States and foreign countries. These Terms do not grant you any rights to use the EMERGIS GLOBAL CAPITAL trademarks (i.e., "Emergis Global Capital," "Emergis Capital," "Emergis"), logos, domain names, or other brand features.

Modifying and Terminating our Services

We are constantly changing and improving our Services. We may add or remove functionalities or features, and we may suspend or stop a Service altogether. You can stop using our Services at any time, although we'll be sorry to see you go. EMERGIS GLOBAL CAPITAL may also stop providing Services to you, or add or create new limits to our Services at any time.

We believe that you own your data and preserving your access to such data is important. If we discontinue a Service, where reasonably possible, we will give you reasonable advance notice and a chance to get information out of that Service.

Use of Links

Our Services may contain links to third party websites. These links are provided only as a convenience. The inclusion of any link is not and does not imply an affiliation, sponsorship, endorsement, approval, investigation, verification or monitoring by EMERGIS GLOBAL CAPITAL of any information contained in any third party website. We are not responsible for the information contained on that site or your use of or inability to use such site. You should also be aware that the terms of use of such site and the site's privacy policy may be different from those applicable to your use of our Services.

The Services and our software are provided "AS IS", at your own risk, without express or implied warranty or condition of any kind. We also disclaim any warranties of merchantability, fitness for a particular purpose or non-infringement.

EMERGIS GLOBAL CAPITAL will have no responsibility for any harm to your computer system, loss or corruption of data, or other harm that results from your access to or use of the Services or our software. Some states do not allow the types of disclaimers in this paragraph, so they may not apply to you.

Limitation of Liability

WHEN PERMITTED BY LAW, EMERGIS GLOBAL CAPITAL WILL NOT BE RESPONSIBLE FOR LOST PROFITS, REVENUES, DATA, FINANCIAL LOSSES OR INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

IN ALL CASES, EMERGIS GLOBAL CAPITAL WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE THAT IS NOT REASONABLY FORESEEABLE.

Choice of Law

The laws of Massachusetts, U.S.A., excluding Massachusett's conflict of laws rules, will apply to any disputes arising out of or relating to these Terms or the Services. All claims arising out of or relating to these Terms or the Services will be litigated exclusively in the federal or state courts of Suffolk, Massachusetts, U.S.A, and you and EMERGIS GLOBAL CAPITAL consent to personal jurisdiction in those courts.
